These Terms & Conditions govern your use of leaniq.io and any related LeanIQ websites, browser experiences, mobile apps (including iOS apps), content, communications, direct messaging and community features (together, the Platform).

LeanIQ is operated by Lean Intelligence Ltd (company number 16960352) (“LeanIQ”, “we”, “us”, or “our”). Its registered office is 40 Market Place, Belper, England, DE56 1FZ. By accessing or using the Platform, you agree to these Terms.

If you do not agree to these Terms, please do not use the Platform.

1. Who LeanIQ is for

LeanIQ is a professional platform and community for people working in, around, or serving industrial sectors, including manufacturing, engineering, operations, continuous improvement, health & safety, maintenance, supply, logistics and related disciplines.

You may use the Platform only if you can lawfully enter into a binding agreement with us and comply with these Terms.

2. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, notify users through the Platform or by email.

Your continued use of the Platform after any update takes effect means you accept the revised Terms.

3. Your account

Some parts of the Platform may require you to create an account.

Your account may be used across browser and mobile app experiences, and you are responsible for activity that takes place through either.

You agree to:

  • provide accurate, current and complete information;
  • keep your login credentials secure;
  • be responsible for activity under your account;
  • notify us promptly if you believe your account has been accessed without permission.

We may suspend or remove accounts that breach these Terms, create risk for the Platform, or appear to be fraudulent, abusive or unlawful.

4. Acceptable use

You agree not to:

  • break the law or encourage others to do so;
  • post, upload or share content that is defamatory, abusive, threatening, harassing, hateful, discriminatory, obscene or misleading;
  • impersonate another person, company or organisation;
  • submit spam, unsolicited promotions or deceptive marketing;
  • introduce malware, malicious code, bots or harmful scripts;
  • probe, disrupt or interfere with the Platform, its systems or other users;
  • scrape, harvest or extract data from the Platform at scale without our written permission;
  • use the Platform to infringe another person’s intellectual property, privacy or other rights;
  • attempt to access restricted areas, accounts or data without authorisation.

5. Community standards, messaging and moderation

LeanIQ is intended to be a high-signal professional environment.

We may, at our discretion, review, moderate, remove, restrict, edit, refuse to publish, or otherwise act on content or accounts where we believe this is necessary to:

  • protect the tone and quality of the Platform;
  • enforce these Terms;
  • comply with legal obligations;
  • reduce spam, abuse, manipulation or misinformation;
  • protect users, partners or the public.

We are not obliged to publish any submission and may prioritise, deprioritise or remove content without notice.

This approach also applies to direct messages, introductions, supplier outreach, sales-agent activity and other user-to-user interactions carried out through the Platform.

6. Your content

If you post, comment, upload, submit, send messages, or otherwise contribute content to LeanIQ (“User Content”), you retain ownership of your content.

However, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, publish, distribute, adapt, format and use that User Content for the purpose of operating, improving, promoting and administering the Platform.

You confirm that:

  • you own the User Content or have the right to submit it;
  • your User Content does not breach the law or anyone else’s rights;
  • your User Content is accurate to the best of your knowledge where it presents facts as facts.

You are solely responsible for your User Content and the consequences of posting or sending it.

7. Direct messaging, supplier activity and commercial interactions

LeanIQ may enable direct messaging, networking, introductions and other interaction between users, including between end users, suppliers, sales agents and other commercial participants.

We may set rules, limits or permissions around who can contact whom, how messaging works, and how commercial engagement is presented on the Platform.

You agree not to use LeanIQ messaging or networking features to:

  • send spam, bulk cold outreach or repetitive unsolicited messages;
  • harass, pressure or mislead other users;
  • misrepresent your identity, business, product or authority;
  • scrape or export contact data for unauthorised marketing;
  • circumvent any contact, visibility or permission controls we put in place.

We do not guarantee the quality, safety, legitimacy, responsiveness or outcome of any connection, conversation, transaction, lead, introduction or commercial relationship formed through the Platform.

Any deal, purchase, sale, engagement, representation or reliance between users is strictly between those users unless we expressly state otherwise.

8. LeanIQ content and intellectual property

Unless otherwise stated, the Platform, its branding, design, software, databases, editorial content, graphics, logos and other materials are owned by or licensed to LeanIQ and are protected by intellectual property laws.

You may view and use the Platform for your own lawful business or professional purposes. You may not copy, republish, distribute, modify, sell or exploit our content or materials except where the law permits or we have given written permission.

9. Professional information only, not advice

LeanIQ may contain professional discussion, commentary, opinions, technical observations and user-generated content.

The Platform is provided for general information and discussion purposes only. It does not constitute engineering advice, legal advice, health and safety advice, regulatory advice, investment advice or any other form of professional advice.

You should apply your own judgment and obtain appropriate specialist advice where needed.

The Platform may contain links to third-party websites, products, tools or services. We do not control those third parties and are not responsible for their content, security, availability or practices.

Your use of third-party services is at your own risk and may be governed by separate terms.

11. Email communications

If you provide your email address, create an account, join a waitlist, register interest, or otherwise interact with LeanIQ, we may send you service emails and, where permitted, product, launch, editorial or marketing emails.

You can unsubscribe from non-essential marketing emails at any time using the unsubscribe link in the email or by contacting us.

12. Beta features and early access

LeanIQ may offer beta features, pilot tools, early access areas or limited-release functionality.

These may be incomplete, changed, interrupted or withdrawn at any time. We do not guarantee that beta features will remain available or work without errors.

13. Availability and changes to the Platform

We may change, suspend, restrict or discontinue any part of LeanIQ at any time, with or without notice.

We do not guarantee that the Platform will always be available, uninterrupted, secure or error-free.

14. Termination and suspension

You may stop using the Platform at any time.

We may suspend or terminate your access, remove content, or close your account if:

  • you breach these Terms;
  • we believe your use creates legal, security or reputational risk;
  • we are required to do so by law;
  • the Platform or relevant service is discontinued.

Sections that by their nature should survive termination will continue to apply, including sections relating to intellectual property, liability, disputes and general legal terms.

15. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to that:

  • the Platform is provided on an “as is” and “as available” basis;
  • we do not make warranties or guarantees about accuracy, completeness, availability, fitness for a particular purpose, or non-infringement;
  • we are not liable for indirect, incidental, special, consequential or loss-of-profit damages;
  • to the fullest extent permitted by law, our total liability arising out of or in connection with the Platform or these Terms will be limited to £100 or the amount you paid us in the previous 12 months for the relevant service, whichever is greater.

16. Indemnity

You agree to indemnify and hold harmless LeanIQ, Lean Intelligence Ltd, and our officers, directors, employees and contractors from claims, losses, liabilities, damages, costs and expenses arising out of:

  • your misuse of the Platform;
  • your User Content;
  • your breach of these Terms;
  • your infringement of another person’s rights.

17. Privacy

Your use of the Platform is also governed by our Privacy Policy.

18. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or your use of the Platform, unless applicable law in your country of residence requires otherwise.
